Minutes to 1/14/08 Board Meeting
Present: Peter Aten, Brian Govang, Marlene Sullivan
Absent: Bob LaMarche
1) Road Maintenance: Work has been fully completed on Eagles Cove Rd.
2) Proposed Amendments: The Board discussed proposed amendments in line with sentiments expressed at the annual meeting. Four amendments were discussed. The board received an unofficial legal opinion from Win Stevens, whose firm has extensive experience in this area. Proposed amendments as follows:
#1) Bylaws - Title & Section 1.1, Covenants - Title & Title Para, Articles of Incorporation - Main Title & Attachment Title: Change the name of the Association from 'Beddington Lake East Homeowners Association' to 'Beddington Lake East Road Maintenance Association'.
#2) Covenants Para 9, By-laws Sec 2.6, Articles of Incorporation: Change the wording to limit the number of votes a single, multiple lot, landowner may cast. IE: "the owner of more than one lot shall have one vote for each lot" up to a maximum of 5 votes, regardless of how many lots the landowner owns.
#3) Covenants Para 7: Add to existing statement the following: After the 5 year moratorium on lot division any subdivision must be reported to the Association Board of Directors within 30 days of said subdivision being recorded by the Washington County Registry of Deeds
#4) Covenants Para 10, By-laws sec 2.4: Add to existing statement the following: Failure to report a subdivision to the Association Board of Directors will allow the Association Board to impose a penalty of 1% of the assessed value of the land plus the highest interest allowed by law as well as a lien to be placed on said subdivision.
It was decided that:
A) Peter will contact Win Stevens re: logistics of amending the Articles of Incorporation for #'s 1 and 2
B) Brian will update #3 to reflect a need to contact the Association at the time a plan is proposed to the town
C) #4 will be dropped
3) Next Meeting: We will meet next on Tuesday, April 15th at 7:00pm.
